USER AGREEMENT
on the use of the ArzonApteka.uz Resource
1. General Provisions
1.1. This User Agreement (hereinafter, the "Agreement") defines the procedure and terms for using the ArzonApteka.uz electronic information platform (the official website, mobile applications, Telegram bots and other software components, hereinafter, "ArzonApteka.uz" or the "Resource"), operated by FOM GROUP Foreign Enterprise Limited Liability Company (hereinafter, the "Company" or "FOM").
1.2. ArzonApteka.uz is an electronic information platform that enables users of the Resource (hereinafter, the "User") to search for and compare information and to submit preliminary requests to reserve medicinal products and related goods sold by partners of the ArzonApteka.uz information service (hereinafter, the "Partners").
1.3. By starting to use the Resource (accessing the website, using the application or taking any other action), the User is deemed to have expressed full and unconditional agreement with this Agreement. If the User disagrees with any provision of the Agreement, the User is requested to stop using the Resource.
1.4. The Company reserves the right to amend this Agreement unilaterally at any time. An updated version takes effect when it is published on the Resource. Continued use of the Resource after amendments are made constitutes agreement with the new version.
1.5. The procedure for collecting, using and protecting Users' personal data is governed by a separate document, the Privacy Policy.
1.6. By using the Resource, the User confirms that they have the civil capacity required to accept this Agreement. If the User does not have full civil capacity under the laws of the Republic of Uzbekistan, use of the Resource is permitted only with the consent of the User's legal representative.
1.7. The User understands and agrees that FOM is the operator of the electronic information platform and a technical intermediary between the User and the Partners. FOM is not a pharmacy organization, seller of medicinal products, medical organization, manufacturer of medicinal products or person carrying out pharmaceutical activities.
1.8. The User is responsible for the accuracy, completeness and relevance of the information provided when using the Resource, including contact details, account information and information required to submit requests.
2. Informational Nature and Limitations
2.1. Information about the availability, prices, characteristics and instructions for use of goods displayed in the Resource catalogue and ArzonApteka.uz search results is provided by the Partners, is solely for reference (informational) purposes and is not advertising. This information is intended solely for comparing pharmacy offers and choosing a place of purchase.
2.2. The primary function of the Resource is to enable the User to independently search, compare prices and choose where to purchase goods from Partner pharmacies. Information displayed on the Resource is solely for reference, is not a medical recommendation, may not serve as grounds for diagnosis, selection of a treatment method or self-treatment, and does not encourage the use of medicinal products without a doctor's prescription.
2.3. Instructions for the use of medicinal products displayed on the Resource are provided solely for familiarization, are not advertising and do not replace the User's mandatory consultation with a doctor and/or pharmacist before using the relevant product.
2.4. Advertising materials of third parties may be displayed on the Resource. Such materials are separated from the Resource's reference information and identified as advertising in accordance with the laws of the Republic of Uzbekistan. The Company is not responsible for the accuracy of information in such advertising materials; the advertiser is responsible for their content in accordance with the laws of the Republic of Uzbekistan.
2.5. The User independently decides whether to purchase and use medicinal products and is responsible for complying with the doctor's recommendations, the instructions for use of the medicinal product and the requirements of the laws of the Republic of Uzbekistan.
3. Partners' Responsibility
3.1. Pharmacies that are partners of the ArzonApteka.uz information section are independent organizations and bear full responsibility for:

the accuracy of information (price, availability and description) provided through ArzonApteka.uz;

the quality of goods sold;

compliance with legal requirements when selling medicinal products, including in cases involving the sale of:
(i) counterfeit medicinal products;
(ii) medicinal products of inadequate quality;
(iii) medicinal products without certificates of conformity;
(iv) medicinal products imported into the Republic of Uzbekistan in violation of the legally established procedure;
(v) medicinal products that are not in official circulation in the Republic of Uzbekistan.
FOM does not control the Partners' business activities and is not a party to relations between the User and a Partner after a reservation request has been transferred.
3.2. Claims concerning harm caused by an incorrect diagnosis, improper medicinal therapy or improper use of medicinal products and related goods mentioned on this Resource must be submitted to the relevant Partner (pharmacy). Such claims may not be submitted to the Company, except where a direct causal relationship between the Company's actions and the harm caused is proven in accordance with the procedure established by the laws of the Republic of Uzbekistan.
3.3. The Company provides Users with information-search and reference services and the technical ability to send reservation requests to Partners through the Resource. The Resource is intended solely for searching, comparing prices, reviewing reference information about goods provided by Partners and submitting preliminary reservation requests to pharmacies selected by the User. The Company is not a party to the sale and purchase agreement between the User and the Partner, does not sell medicinal products, does not accept payment for goods and does not arrange the acceptance of payments. All decisions regarding confirmation of a reservation, sale, availability, price and release of goods are made exclusively by the relevant Partner in accordance with the laws of the Republic of Uzbekistan.
3.4. The Company is not a seller, distributor or manufacturer of medicinal products, does not carry out pharmaceutical activities and does not hold pharmaceutical licences. The Company does not conduct preliminary moderation, physical inspection or control of the quality, authenticity, state registration or availability of certificates of conformity for medicinal products about which information is supplied by Partners.
3.5. Under the laws of the Republic of Uzbekistan, the obligation to provide necessary, accurate and accessible information about goods in a timely manner lies exclusively with the seller. The Company is not liable to Users for the accuracy, completeness or relevance of information transmitted by Partners (pharmacies) for display on the Resource. Responsibility for the quality, safety, legality, state registration and conformity of goods sold with established standards lies exclusively with the Partners that sell them directly at their physical points of sale. FOM may use information provided by Partners without independently verifying that it corresponds to the actual circumstances, unless otherwise expressly provided by an agreement between FOM and the relevant Partner. Once the User's personal data has been transferred to a Partner, that Partner bears independent responsibility for the further processing of the data received in accordance with applicable law.
4. Price and Availability Information
4.1. Partners regularly transmit information about the price and availability of goods to the ArzonApteka.uz system. Actual availability of medicinal products may differ from previously transmitted data. Users are advised to contact the relevant pharmacy directly for current information. The Company does not guarantee that product availability information is current in real time.
5. Terms for Using the "Reservation" Function
5.1. The Resource provides the User with a free opportunity to send a preliminary request to reserve goods at a Partner pharmacy selected by the User.
5.2. Sending a reservation request does not constitute a sale and purchase agreement and does not in itself mean that the Partner has confirmed the reservation. The goods are sold and paid for strictly at the Partner's physical point of sale (pharmacy).
5.3. The storage period for reserved goods is determined by the relevant Partner or displayed in the Resource interface. When that period expires, the reservation is automatically cancelled.
5.4. A reservation for prescription medicinal products is for reference purposes. The Partner (pharmacy) may refuse to release a reserved prescription product if the User does not have a properly issued doctor's prescription when purchasing the goods at the pharmacy.
5.5. The Company does not guarantee the availability of reserved goods or preservation of their price until purchase by the User and is not liable if the Partner cancels a reservation for technical or other reasons.
5.6. If the Partner does not confirm or process a reservation request within the period shown to the User in the Resource interface, or refuses the reservation, the request is deemed invalid. The User may send a similar request to another Partner pharmacy.
5.7. The User may independently cancel a submitted reservation request before its storage period expires by using the corresponding function in the Resource interface.
5.8. When making a reservation, the User consents to the transfer of their contact details (name, telephone number and order contents) to the selected Partner (pharmacy) solely for processing and confirming the reservation. Data is transferred to the Partner only after the User has sent the request and only to the extent necessary to process that request.
<u>5.9. The User understands that sending a reservation request is solely a request by the User and does not oblige the Partner to enter into a sale and purchase agreement or ensure that the goods are available.</u>
6. Reviews of Partners
6.1. The Resource may enable the User to leave reviews and/or ratings regarding Partners and the quality of their services (hereinafter, a "Review").
6.2. By publishing a Review, the User warrants that the Review is based on their personal experience of using the relevant Partner's services; the information in the Review is true; and the Review does not contain insults, obscene language, false information damaging the honour, dignity or business reputation of the Partner or third parties, third-party personal data, advertising or other content that violates the laws of the Republic of Uzbekistan or third-party rights.
6.3. The User bears personal responsibility for the content of their published Review, including before the Partner and third parties. The Company does not verify the accuracy of Reviews and is not responsible for their content.
6.4. By publishing a Review, the User consents to its public display on the Resource, including with the User's name or another account identifier, and grants the Company the right to use the Review text (including in anonymized or aggregated form) for operating, promoting and improving the Resource without paying additional remuneration to the User.
6.5. The Company may, but is not obliged to, moderate Reviews and may refuse to publish or remove a published Review that does not meet the requirements of clause 6.2, upon a reasoned request from the relevant Partner or at the request of authorized government bodies.
6.6. The User is prohibited from:

posting knowingly false reviews;

creating multiple accounts to manipulate ratings;

using automated information collection tools without FOM's consent;

taking actions intended to disrupt the Resource.
6.7. If the User violates this Agreement, the laws of the Republic of Uzbekistan or the rules for using the Resource, or if suspicious activity is detected, the Company may temporarily restrict or terminate the User's access to individual functions of the Resource without prior notice where such measures are necessary to protect the interests of the Company, Users or Partners.
7. Territorial Applicability
7.1. Unless expressly stated otherwise, information displayed on the Resource is valid only within the Republic of Uzbekistan. Product names and dosages may differ from those accepted in other countries; some products available in Uzbekistan may not be authorized for use in other countries.
7.2. Certain Premium functions may provide the User with information about pharmacies located outside the Republic of Uzbekistan in CIS countries. The laws and regulatory requirements of the relevant country, rather than those of the Republic of Uzbekistan, apply to such information; the Company does not guarantee its completeness or accuracy. The terms for providing this function are defined by the Public Offer for the Premium subscription.
8. Premium Subscription
8.1. The User uses the Resource free of charge within the basic functionality. At their discretion, the User may purchase a paid subscription to use additional (Premium) functions.
8.2. The procedure for purchasing, paying for, renewing and terminating the Premium subscription and other terms for its provision are defined by the Public Offer for the Premium subscription published on the Resource. If the User purchases a Premium subscription, the provisions of that Public Offer apply to relations between the Company and the User. The Public Offer is available at: https://arzonapteka.uz/offer
9. Final Provisions
9.1. This Agreement is governed by and interpreted in accordance with the laws of the Republic of Uzbekistan.
9.2. The Company does not guarantee uninterrupted, continuous or error-free operation of the Resource. The Company may temporarily restrict access to the Resource for preventive, technical, modernization or other work. The Company is not liable for inability to use the Resource for reasons beyond its control, including failures of communications networks, the Internet or the User's equipment, acts or omissions of third parties or other circumstances beyond the Company's reasonable control.
9.3. The Company is released from liability for complete or partial non-performance or improper performance of obligations under this User Agreement where such non-performance results from force majeure circumstances that the Company could not foresee or prevent through reasonable measures. Such circumstances include, without limitation, natural disasters, fires, floods, earthquakes, epidemics, hostilities, terrorist acts, mass disorder, decisions of state authorities, failures of communications networks, data centres or power supply facilities, and other circumstances beyond the Company's reasonable control. Force majeure also includes large-scale cyberattacks, unauthorized access to third-party infrastructure, cloud-service failures and other technological circumstances that the Company could not reasonably prevent.
9.4. Where the Company's liability may not be excluded under the laws of the Republic of Uzbekistan, that liability is limited to the amount of documented direct damage caused directly by the Company's actions.
9.5. The Company may change the structure, design, functionality and content of the Resource, including adding, changing or discontinuing individual functions, without prior agreement with the User, provided that such changes do not breach the Company's obligations to the User.
9.6. Exclusive rights to the software, design, structure, databases, interface elements and other results of intellectual activity used as part of the Resource belong to the Company or are lawfully used by the Company. The User may not copy, modify, distribute or use such materials without the Company's written consent.
